REAL ESTATE LAW AND CONSTRUCTION LAW

Real estate transfers and legal due diligence

We will guide you through the real estate transaction from start to finish. We will prepare a legal audit (due diligence) of the property to identify and eliminate risks in the real estate transaction.

During the legal due diligence we will verify the chain of title transfers. We will verify the existence of any easements or other encumbrances on the property. We supervise the validity of building and other permits.

We will carry out a legal audit:

  • when verifying the actual ownership of the land being purchased (including issues of restitution claims in relation to land previously expropriated by the state),
  • to identify any easements on the land, e.g. public access rights,
  • to establish any lease of the land,
  • to ensure the validity of permits related to the planned construction (including zoning decisions, building permits, approvals, etc.).

Financing

We advise on project financing, particularly in the form of loans and related security. We provide comprehensive legal advice from structuring the appropriate form of financing for the relevant project through the preparation and negotiation of contractual documentation to the establishment of security. We represent both borrowers and lenders.

AML Act services for real estate brokers

We assist real estate brokers as obligated persons in complying with their obligations under the AML Act:

  • drafting a system of internal policies,
  • preparation of risk assessments,
  • client identification,
  • client screening,
  • identification of a contact person and an authorised person,
  • conducting regular AML training.

Selected real estate law services:

  • advising on the sale and acquisition of real estate (conducting legal due diligence, drafting, drafting and negotiating transaction documents, proposing structures for the relevant transaction, including tax structuring),
  • advising on the construction of residential projects, including the subsequent commercialisation of residential units,
  • advising facility management (drafting and reviewing lease agreements, negotiations with tenants),
  • representation in administrative proceedings relating to zoning and construction,
  • advising on project financing, structuring and negotiating contracts with banks or other financing providers,
  • representing clients in court and arbitration proceedings.
